These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and FarmSentry LLC ("FarmSentry," "we," "us," or "our"), governing your access to and use of the FarmSentry website, mobile applications, and cloud-based farm management software (collectively, the "Service").
BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.
If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case the terms "you" or "your" shall refer to such entity.
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, typically via email or an in-app notification. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
To access the Service, you must register for an account by providing accurate, current, and complete information. You agree to maintain and promptly update your account information to keep it accurate, current, and complete.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant to us that: (a) you are at least 18 years old; (b) you have not previously been suspended or removed from the Service; and (c) your registration and your use of the Service is in compliance with any and all applicable laws and regulations.
The Service is offered on a subscription basis. You agree to pay all fees associated with your subscription plan ("Subscription Fees") as described on our website or in the Service. All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.
We use third-party payment processors (e.g., Stripe) to bill you. By choosing a subscription plan, you authorize us to charge your payment method on a recurring basis (monthly or annually) until you cancel. You represent and warrant that you have the legal right to use all payment methods that you provide to us.
You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of the current billing cycle. ALL PURCHASES ARE FINAL AND NON-REFUNDABLE. We do not provide refunds or credits for any partial subscription periods or unused service.
FarmSentry reserves the right to change subscription pricing at any time. We will provide you with reasonable prior notice of any price changes. Your continued use of the Service after the price change becomes effective constitutes your agreement to pay the changed amount.
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of FarmSentry and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of FarmSentry.
"User Content" means any text, graphics, images, music, software, audio, video, works of authorship of any kind, and information or other materials that are posted, generated, provided, or otherwise made available through the Service by you.
You retain all rights to your User Content. However, by providing User Content to FarmSentry, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and FarmSentry's (and its successors' and affiliates') business, including for the purpose of promoting and redistributing part or all of the Service.
FarmSentry offers AI-powered features through FarmIQ, including an AI chat assistant, document processing, and knowledge retrieval services. Your use of these AI features is governed by our separate FarmIQ AI Services Terms, which supplement these Terms of Service.
By using any FarmIQ AI feature, you agree to be bound by both these Terms of Service and the AI Services Terms. In the event of a conflict between the two documents regarding AI-specific matters, the AI Services Terms shall prevail.
You agree not to do any of the following:
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. FARMSENTRY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. FARMSENTRY MAKES NO WARRANTY THAT (I) THE SERVICE WILL MEET YOUR REQUIREMENTS, (II) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, OR (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FARMSENTRY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL FARMSENTRY'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF $100 OR THE AMOUNT PAID BY YOU TO FARMSENTRY FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to defend, indemnify, and hold harmless FarmSentry and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.
These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Wyoming before one arbitrator. The arbitration shall be administered by the American Arbitration Association (AAA). Judgment on the award may be entered in any court having jurisdiction.
YOU AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED IN YOUR INDIVIDUAL CAPACITY ONLY AND NOT AS A CLASS ACTION OR OTHER REPRESENTATIVE ACTION, AND YOU EXPRESSLY WAIVE YOUR RIGHT TO FILE A CLASS ACTION OR SEEK RELIEF ON A CLASS BASIS.
12.1 Severability. If any provision of these Terms is held to be invalid or unenforceable, such provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.
12.2 Entire Agreement. These Terms constitute the entire agreement between you and FarmSentry regarding the Service and supersede and replace any prior agreements we might have had between us regarding the Service.
12.3 Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
